Contractor Terms & Conditions
Welcome to In The Interim, LLC (“ITI”) located at 980 N Michigan Ave, Ste 1090 #951208, Chicago, IL 60611. By joining our network as a contractor, you agree to the following terms of participation. These terms explain how membership, placement fees, and our referral process work. Please read carefully before continuing.
1. Membership & Subscription
To be part of the ITI network, contractors pay an annual membership fee (currently $500).
Membership provides access to referrals, networking opportunities, and eligibility for placement with associations and nonprofits.
2. Placement Fees
When ITI introduces you to an association (“Client”) and you accept an engagement, the following fees apply:
Minimum Fee Upfront: A non-refundable $500 Placement Fee is due within 5 business days of accepting an engagement.
Percentage Fee: If the engagement value is more than $5,000, you also owe ITI 10% of the total contract value. The $500 minimum is credited toward this total.
Payment Timing: Any remaining balance (beyond the $500 minimum) is due within 30 days of you receiving payment from the Client.
3. Non-Circumvention
For 18 months after an introduction, you may not bypass ITI and work directly with a referred Client without paying the required Placement Fee.
If you do, ITI may charge liquidated damages equal to 2x the Placement Fee that would have been owed.
4. Reporting & Transparency
You must notify ITI within 5 business days of signing any engagement with a Client referred by us.
At a minimum, you’ll provide the Client name, scope, term, and compensation.
You’ll also give ITI quarterly updates until the engagement ends.
5. Enforcement & Termination
ITI may remove you from the network for:
Non-payment of fees (including the $500 upfront minimum),
Circumventing ITI to avoid fees, or
Misrepresenting engagements.
Membership fees are non-refundable.
ITI may pursue recovery of unpaid fees, damages, and legal costs.
6. Independent Contractor Status
You are an independent contractor.
ITI does not employ you, provide benefits, or assume liability for your work with Clients.
You are responsible for your own taxes, insurance, and compliance.
7. Governing Law
These terms are governed by the laws of the State of Illinois.
